1. Scope of Services
ReganHCM provides HR consulting services, which may include but are not limited to: organizational development, talent strategy, compliance support, leadership training, and related advisory functions. Specific service details and deliverables will be outlined in a mutually agreed upon project scope or proposal.
2. Payment Terms
All fees are due at the start of each engagement or project, with subsequent payments due at clearly defined milestones as outlined in the proposal or agreement. Work will not begin until initial payment is received. Invoices not paid within 15 days of the due date may result in paused services and could incur a late fee.
3. Client Responsibilities
Clients agree to provide timely access to necessary personnel, documentation, and resources required to deliver services. Delays caused by lack of access or responsiveness may impact agreed timelines.
4. Confidentiality
We treat all client information as confidential and take reasonable measures to protect sensitive data. Likewise, we expect clients to maintain the confidentiality of proprietary methodologies, reports, and deliverables shared during the engagement.
5. Intellectual Property
All tools, templates, training materials, and written deliverables created by ReganHCM remain our intellectual property unless otherwise agreed in writing. Clients are granted a non-transferable, non-exclusive license to use such materials for internal purposes only.
6. Cancellations and Rescheduling
Either party may reschedule project milestones with a minimum of five business days’ notice. Project cancellations by the client after initiation may result in partial refunds, subject to the work already completed and administrative fees.
7. Limitation of Liability
ReganHCM will make every reasonable effort to deliver high-quality consulting services. However, we are not liable for any indirect, incidental, or consequential damages resulting from the use of our services or reliance on our recommendations.
8. Governing Law
These terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles. Any disputes arising from the engagement will be resolved in the appropriate courts of Michigan.
9. Updates to Terms
We may update these Terms and Conditions at any time. Continued use of our services after updates constitutes acceptance of the revised terms.
